Alan Wong is an executive-level corporate attorney with over 22 years of international and Silicon Valley experience. Alan worked for 10 of those years as in-house counsel, most recently as General Counsel at Beceem Communications Inc., a 4G wireless semiconductor company that was acquired by Broadcom Corporation. Prior to Beceem Communications, Alan was Senior Counsel at NVIDIA Corporation, an S&P 500 company and a leader in graphics, mobile and high performance semiconductor and software solutions. As the second full-time attorney hired at NVIDIA, Alan helped grow the business from sub-$1 billion to over $3 billion annual revenue. He previously practiced at the law firms of Coudert Brothers, Pennie & Edmonds, and Pillsbury Madison & Sutro (now Pillsbury Winthrop Shaw Pittman). Alan also worked at the U.S. State Department as a diplomat and commissioned officer in the U.S. Foreign Service.
Alan is available to act as outside General Counsel or as supplemental counsel to address a wide range of legal needs at start-up ventures, public and private companies, and non-profit organizations. At a substantial savings compared to the costs associated with large law firms, Alan can address typical legal needs such as the review and negotiation of technology licenses, non-disclosure agreements, sales, marketing, development, contractor and employment agreements, and other types of commercial contracts, and can provide strategic advice on corporate governance and operations, M&A proposals and associated due diligence, intellectual property protection, international matters, human resources issues, internal investigations, disputes and threatened litigation, and similar challenges.
Relevant Experience
• As General Counsel at Beceem Communications, Alan was responsible for all legal aspects of company strategy and operations, including SEC clearance for an initial public offering, technology development and licensing, intellectual property protection, sales, marketing, finance and securities, human resources, manufacturing, real estate, disputes/litigation, and legal policies, forms and procedures.
• As Senior Counsel at NVIDIA, Alan negotiated major sales, marketing, technology licensing, chip fabrication and real estate agreements. He was responsible for the legal establishment and compliance of large-scale R&D operations in China, India and Russia, and supported sales operations throughout Asia and Europe. Alan completed multimillion dollar strategic acquisitions in the U.S. and Asia, managed patent and other litigation, and advised on security measures, risk management, human resources issues, and privacy and export matters.
• As a law firm attorney, Alan negotiated technology development and licensing agreements, venture capital financings, and mergers and acquisitions. He counseled companies on corporate governance and SEC compliance, worked on initial public offerings, secondary offerings and debt offerings, and managed state and federal litigation.
• Alan has extensive overseas experience working in China, Japan and India, and on Europe, Taiwan, Korea and Latin America matters, and has managed professional and support staffs in the U.S. and abroad. As a Foreign Service Officer with the U.S. State Department, Alan lived in India and Japan, worked on bilateral and multilateral strategic and trade issues, and held a Top Secret security clearance.
